Note: The Open Group CDE 2.1 is supplied as integrated with certain OSF/Motif code. Accordingly, where the OSF/Motif Full Service Agreements are already in effect, a credit will be applied toward The Open Group CDE 2.1 Support fee, equivalent to that portion of the OSF/Motif Service fee attributable, on a pro rata basis, to the number of months remaining in such OSF/Motif Full Service Agreement. The OSF/Motif Full Service Agreement and The Open Group CDE Support Agreement will thereafter co-exist for the same annual period. Please refer to The Open Group Software Support Services Feature Chart for details on the components of various Support Services. Motif Full Service or Technology Update Service is required when ordering CDE Technology Update Service.

The Open Group CDE 2.1 Source License with Full Distribution Rights includes 1,000 paid-up Object Code licenses for The Open Group CDE 2.1. Thereafter the volume discounts will apply to each given Ordering Period and will be based upon the number of The Open Group CDE 2.1 Object Code licenses used, sold and/or distributed during that Ordering Period. Volumes are not cumulative between Ordering Periods. However, if Licensee sells fewer than 1,000 of The Open Group CDE licenses during the first Ordering Period, the remainder of these paid-up licenses may be sold in the second Ordering Period.

Accordingly, if for example, in the first Ordering Period the Licensee distributes a total of 5,000 Object Code licenses, Licensee will owe no further royalties for the first 1,000 licenses. However, Licensee will owe The Open Group $7.00 for each of the remaining 4,000 licenses sold during that Ordering Period. If in the second Ordering Period the same Licensee sells an additional 5,000 licenses, Licensee will owe The Open Group royalties for all 5,000 licenses at the rate of $7.00 per license.
The Open Group CDE 2.1 object code royalty fees are separate from and are in addition to the OSF/Motif object code royalty fees. Both fees must continue to be tracked, reported and paid for pursuant to the Terms and Conditions of The Open Group's Master Software License Agreement, the Standard Supplement for OSF/Motif, and the Standard Supplement for The Open Group CDE 2.1 .
NOTE: The Open Group CDE Licensees will qualify for a discount in their OSF/Motif royalty rate to the next volume discount level in any given Ordering Period(s), if Licensee licenses and distributes The Open Group CDE 2.1, and has elected either the Motif Option A or the Motif Option B Object Code Fees Volume Discount (royalties).
Commencing with Licensee's first product shipment of The Open Group CDE 2.1 and notification to The Open Group in writing (Attention: Royalty Administration), The Open Group CDE Licensees will qualify for a discount in their OSF/Motif royalty rate to the next volume discount level if, prior to such shipment, they have elected either the OSF/Motif Option A or B Object Code Fees Volume Discount under the OSF/Motif Price List. No discounts will become effective unless and until Licensee has notified The Open Group in writing of the next level volume discount for which it has qualified, and The Open Group has confirmed in writing to Licensee that it has qualified for such discount.
For example, if an The Open Group CDE 2.1 Licensee with Full Distribution Rights is also an OSF/Motif Full Distribution Rights Licensee who has elected the OSF/Motif Option A Volume Discount Schedule 1, Licensee's royalty rate for the first 5,000 copies of OSF/Motif will be $40.00 per licensed copy (Level A); and $32.00 per licensed copy (Level B) for from 5,001 to 20,000 copies. This process also applies through Levels C - G. Licensee will be entitled to base its royalty reports for the OSF/Motif on this next level volume discount structure when Licensee commences regular shipment of its first commercial product containing The Open Group CDE 2.1, notifies The Open Group in writing to this effect, and The Open Group has provided Licensee with a written acknowledgment that Licensee has met all requirements to qualify for such discount. Licensee shall be entitled to this next level volume discount for each Ordering Period during which Licensee is both The Open Group CDE and an the OSF/Motif Licensee, provided that during each such Ordering Period Licensee continues to make regular shipments of The Open Group CDE-based product.
For clarification purposes, this next level volume discount shall only apply to those copies of the OSF/Motif which are licensed and distributed after Licensee meets all three (3) requirements in the applicable Ordering Period. Accordingly, if Licensee licenses and distributes e.g. 500 copies of OSF/Motif in the first half of a given Ordering Period and then ships The Open Group CDE-based product at the beginning of the second half of that Ordering Period, the next level volume discount will only apply to the copies of the OSF/Motif licensed and distributed during that second half of the Ordering Period.
